1. Acceptance of Terms
By registering for and participating in the Affiliate Programme, you agree to these Terms in full.
Your registration constitutes a legally binding electronic agreement. If you do not agree, you must not participate in the Programme.
2. Purpose of the Programme
The Affiliate Programme allows you to promote Flow42 products and services and earn commissions from qualifying referrals.
Commissions are only earned when all conditions are met and transactions are successfully completed.
3. Eligibility and Registration
Participation is open to individuals of legal age and legally established entities that comply with applicable laws.
You must provide accurate and up-to-date information during registration and maintain it at all times.
The Company reserves the right to approve, reject, suspend, or terminate any Affiliate application or account at its sole discretion.
4. Affiliate Obligations
Affiliates are required to actively manage their accounts, including logging in regularly, monitoring communications,
and keeping account and payment information accurate and up to date.
You are responsible for responding to Company communications within specified timeframes. Messages sent to your registered contact details are deemed delivered.
5. Commission Rules
Commissions are earned only through valid qualifying referrals. Self-referrals are strictly prohibited and will not be rewarded.
Transactions that are refunded, reversed, or charged back are not eligible for commission payouts.
Commission is recorded in your Affiliate Account but is only payable once all conditions are verified and fulfilled.
6. Payment of Commissions
Affiliates may request payouts through the designated system, subject to minimum thresholds and verification checks.
Payments will only be processed for approved and completed transactions.
Affiliates are solely responsible for providing accurate payment information. The Company is not liable for delays caused by incorrect or outdated details.
7. Dormancy and Forfeiture
An Affiliate Account may be considered inactive if, over a continuous period of three months, no withdrawals are requested,
no login occurs, no communication is answered, and no referral activity is recorded.
If no action is taken to reactivate the account within this period, all accumulated commissions may be permanently forfeited.
Accounts can be reactivated prior to forfeiture by logging in, requesting a payout, or responding to Company communication.
8. Permitted Promotion
Affiliates may promote Flow42 using approved links, graphics, and materials across websites, email, and other appropriate channels.
Custom promotional materials are permitted if they are accurate and compliant with these Terms.
Affiliates must clearly disclose their affiliate relationship where required by law.
9. Prohibited Activities
You agree not to:
- engage in self-referrals or fraudulent transactions,
- use misleading or deceptive advertising,
- send spam or unsolicited mass communication,
- promote on websites involving illegal activities,
- use unauthorized coupons or promotional claims,
- set cookies without clear user interaction,
- run pay-per-click campaigns without written approval,
- violate intellectual property rights.
Violations may result in immediate suspension or termination and forfeiture of commissions.
10. Coupons and Promotions
Coupons or special offers may only be promoted if explicitly authorized.
Misrepresentation of discounts or offers is strictly prohibited.
11. Termination
The Company may suspend or terminate your account at any time, with or without notice, particularly in cases of violations, fraud, or conduct harmful to the Programme.
Affiliates may terminate participation at any time. Unclaimed commissions may be subject to forfeiture if not properly requested prior to termination.
12. Changes to the Terms
The Company reserves the right to update or modify these Terms at any time.
Continued participation after changes are published constitutes acceptance of the updated Terms.
13. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages,
including loss of revenue or commissions.
The Company does not guarantee uninterrupted or error-free operation of the Programme.
14. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from your participation in the Programme, including misconduct, misrepresentation, or violations of these Terms.
15. Governing Law
These Terms are governed by the laws of Singapore.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
